1. Agreement to Terms and Conditions of Use
Skynet Trading Limited (“Skynet Trading” or the “Company”) offers certain products and services (including non-custodial software solutions) for the digital assets market. Skynet Trading is a software and SaaS-provider that offers a software (including a dashboard) for projects looking to deploy liquidity solutions to improve the accessibility of their utility tokens.
2. Restrictions on Jurisdictions
Certain of our software from time to time may not be intended for, and are not sold to, retail customers, entities, or individuals operating within or affiliated with certain countries, including sanctioned countries, OFAC countries, the EU or Liechtenstein (“Restricted Jurisdictions”), the discretion to decide to whom ultimately the software may be provided to, shall be for Skynet Trading in its sole and absolute discretion, from time to time.
Additionally, certain of our software are not provided, rented, leased, or licensed for any purpose that could involve access to or operation within the Restricted Jurisdictions. Any attempt to use our software in violation of these restrictions is strictly prohibited.
The user represents and warrants that it has no presence or affiliation (in whatever form) in the Restricted Jurisdictions, including but not limited to, involvement in exchanges, management, or as Ultimate Beneficial Owners (“UBOs”) in the Restricted Jurisdictions. The user of the Company’s software also confirms to Skynet Trading that all Know Your Business (“KYB”) and Anti-Money Laundering (“AML”) procedures have been completed truthfully and in full. Should any user establish any form of presence in or affiliation to the Restricted Jurisdictions in the future, the user agrees to promptly notify the Company. Upon such notification, the Company reserves the right to take any action without limitation, including immediately terminate and cancel any and all access to the software.
3. Beta
Use the Dashboard at your own risk. This software program is still in testing phase and may contain defects/ bugs/ functionality limitations. The primary purpose of this beta is to obtain feedback on software performance and identification of defects. Use the software with caution and do not rely in any way on the correct functioning or performance of the beta software program.
4. Copyright and Intellectual Property
Unless otherwise indicated, all copyright and other intellectual property rights in all information, data, text, graphics, images, logos, trademarks, and other materials on this website are the property of Skynet Trading.
5. Confidentiality
The information transmitted in the software (including the Dashboard) is intended only for the person or entity to which it is addressed and may contain confidential and/or privileged material. Any review, retransmission, dissemination or other use of, or taking of any action in reliance upon this information by persons or entities other than the intended recipient is prohibited. If you received access to the software in error, please contact the sender and delete the material.
6. The Company’s exemption from Liability
Any person using the software agrees and acknowledges that the software they use from Skynet Trading, Skynet Trading is not responsible for the performance of any assets or property belonging to such person on any market, platform, exchange or venue. All persons agree to hold Skynet Trading harmless for any price fluctuations or price depreciation during the Term of any agreement with Skynet Trading or any other losses caused by the use of the software.
7. No warranties, Indemnification
By agreeing to these terms and conditions, you acknowledge and agree that in no event shall Skynet Trading, its subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns, employees, members, managers, or the assigns of the same be liable for any incidental, consequential, or indirect damages, including but not limited to, damages for loss of profits, business interruption, loss of programs or information, or any other losses arising out of the use of or inability to use the software, or any information provided from the software, even if Skynet Trading or its authorized representatives have been advised of the possibility of such damages. Furthermore, Skynet Trading shall not be liable for any claim attributable to errors, omissions, or other inaccuracies in the software.
You agree to indemnify, defend, and hold harmless Skynet Trading and its subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns, and employees (the “Indemnified Persons”) from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms and Conditions or the documents they incorporate by reference, or your violation of any law or the rights of a third-party. This indemnification obligation will survive the termination of these Terms and Conditions and your use of the software.
You hereby release Skynet Trading and its Indemnified Persons from any and all claims, damages, liabilities, and costs, whether known or unknown, arising from or related to your use of the software. This release covers all claims, whether based on warranty, contract, tort, or any other legal theory, and includes any claims for direct or indirect damages or any other forms of relief.
8. Representations
Skynet Trading has no influence or ownership over the ultimate performance of any person’s assets or property and makes no representation that such person will or will not achieve certain targets (price, financial, performance or otherwise). Skynet Trading’s obligations hereunder are limited to making commercially reasonable efforts to advise on methods to use the software.
9. No investment advice
Skynet Trading software does not and will not at any time constitute solicitation, investment advice or an offer to purchase any investment product.
10. Permission
Permission is granted to view and print materials from the software for the non-commercial purpose of viewing, reading, and retaining for reference. Any other copying, distribution, retransmission or modification of information or materials on this site, whether in electronic or hard copy form, without the express prior written permission of Skynet Trading, is strictly prohibited. Accordingly, you agree that you will not copy, reproduce, alter, modify, or create derivative works from the software.
11. Know Your Customer (KYC) and Compliance
All users are required to complete a Know Your Customer (“KYC”) process as part of the onboarding procedure. This process is designed to prevent identity theft, financial fraud, money laundering, and terrorist financing, including any user being from or affiliated with a Restricted Jurisdiction. Skynet Trading may, in its discretion, implement additional KYC and compliance checks in the future, and any persons using the software are required to provide the necessary information and successfully complete these checks promptly. Skynet Trading reserves the right to refuse service or the software to anyone failing to comply with KYC requirements.
12. Adherence to Laws and Ethical Trading Practices
Skynet Trading is committed to abiding by all applicable laws, regulations, and ethical standards in the jurisdictions where it operates. The Company will not engage in or facilitate market manipulation or any other illicit trading practices. All users and persons using the software are expected to adhere to similar standards and may be subject to termination of service for any illegal or unethical trading activities (determined in the sole and absolute discretion of the Company).
13. Limitation of Liability
Skynet Trading shall not be liable for any damages that result from the use of, or the inability to use, the materials on this site or the performance of the software, even if Skynet Trading has been advised of the possibility of such damages. Applicable law may not allow the limitation of exclusion of liability or incidental or consequential damages, so the above limitation or exclusion may not apply to you.
14. Service availability
Skynet Trading does not guarantee continuous, uninterrupted or secure access to the software, and operation of our site may be interfered with by numerous factors outside of our control. Skynet Trading will strive to provide access to its services as much as possible but will not be liable whatsoever for any interruptions, including, but not limited to, power outages, system failures or other interruptions that may affect the receipt, processing, acceptance, completion or settlement of transaction services.
15. Termination of software
Skynet Trading reserves the right to terminate your access to the software or any part of it at any time, without notice, for conduct that Skynet Trading reasonably believes violates these Terms and Conditions (including any user being from or affiliated with a Restricted Jurisdiction), a breach of any applicable law or regulation, or is harmful to other users of the software, to Skynet Trading, to the business of the website’s internet service provider, or to other users of the software.
16. Software user responsibility
Users of the software are responsible for ensuring that their use of Skynet Trading’s software complies with all laws, rules, and regulations applicable to them. It is the user’s responsibility to keep their login information confidential and to ensure that their accounts are used in a secure manner.
17. Modifications to Terms and Conditions
Skynet Trading reserves the right to modify these Terms and Conditions and has sole and ultimate discretion with respect to its software, at any time. Such modifications shall be effective immediately upon posting of the modified Terms and Conditions. You agree to review these Terms and Conditions periodically to be aware of such modifications, and your continued access or use of the software shall be deemed your conclusive acceptance of the modified Terms and Conditions.
18. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of the jurisdiction in which Skynet Trading is established or operates, without giving effect to any principles of conflicts of law.
By using and continuing to use Skynet Trading’s software, you agree to these Terms and Conditions. If you do not agree, please refrain from using the software.
